Terms of Service
PacedLoop
1. Acceptance of Terms
By creating an account, accessing, or using PacedLoop ("Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree, you may not use the Service.
These Terms apply to all users, including Custom GPT creators ("Creators").
2. Description of the Service
PacedLoop provides workflow orchestration that connects GPT-based experiences to structured, stateful workflows.
The Service:
- Connects GPTs to stored checklists and workflows
- Persists GPT-generated outputs and workflow metadata
- Enables review, auditing, and resuming workflow runs
PacedLoop does not independently generate AI content.
3. No AI Inferencing by PacedLoop
PacedLoop does not operate or train AI models.
Any AI inference or content generation occurs through your selected GPT provider.
If PacedLoop introduces model execution capabilities in the future, we will update these Terms before enabling such features.
4. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service.
5. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity occurring under your account
- Ensuring your workflows comply with applicable laws
- Ensuring compliance with your GPT provider's terms
You must notify us immediately of any unauthorized account use.
6. Creator Responsibilities
If you are a Custom GPT Creator:
- You determine what data is collected through your GPT.
- You control the prompts, inputs, and outputs.
- You are responsible for providing any required privacy notices to end users.
- You are responsible for handling user requests regarding access, correction, or deletion of their data.
- You must comply with applicable privacy and data protection laws.
- You represent that you have the necessary rights and permissions to process any data submitted through your workflows.
7. Custom GPT Creator Ownership and Privacy Responsibility
PacedLoop functions as workflow infrastructure.
When end users interact with a Creator's GPT:
- Prompts and responses may pass through PacedLoop systems.
- Workflow outputs may be stored to operate the Service.
- Outputs are delivered to the Creator.
Workflow outputs are treated as the Creator's content.
Once delivered to a Creator, PacedLoop does not control how that data is used, retained, or shared.
Creators are independently responsible for downstream data handling.
8. License to Use the Service
Subject to these Terms, PacedLoop grants you a limited, non-exclusive, non-transferable, revocable license to use the Service.
You may not:
- Reverse engineer or attempt to extract source code
- Resell or sublicense the Service
- Use the Service for unlawful or harmful purposes
- Interfere with platform security
9. Data Storage and Retention
We store:
- Workflow definitions
- Run status
- GPT-generated outputs
- Associated metadata
Free Tier Retention
For free-tier accounts, run records and outputs are retained for 30 days from creation and are then scheduled for deletion.
You are responsible for exporting data before expiration.
Paid Tiers
Paid accounts are not subject to the automated 30-day purge unless otherwise disclosed.
You may delete workflows and runs from your dashboard at any time.
10. Analytics and Service Improvement
We may use aggregated, anonymized, or de-identified usage data to:
- Maintain and improve platform performance
- Diagnose errors
- Develop new features
We do not use Creator workflow content or End User prompts to train AI models.
11. Service Availability
The Service is provided on an as-is and as-available basis.
We do not guarantee:
- Uninterrupted access
- Error-free operation
- Compatibility with all GPT providers
You are responsible for reviewing and verifying outputs before relying on them.
12. Fees and Payment (If Applicable)
If you subscribe to a paid plan:
- Fees are billed as described at purchase.
- Payments are non-refundable unless required by law.
- We may modify pricing with reasonable notice.
13. Termination
You may terminate your account at any time.
We may suspend or terminate accounts that:
- Violate these Terms
- Pose security risks
- Create legal exposure for PacedLoop
Upon termination:
- Access to the Service ceases
- Data retention follows our published retention policy
14. Intellectual Property
PacedLoop retains all rights to:
- The platform
- Software
- Branding
- Infrastructure
- Documentation
Creators retain ownership of their workflow configurations and GPT-generated outputs, subject to the rights granted in these Terms.
You grant PacedLoop a limited license to process your data solely to operate the Service.
15. Indemnification
You agree to indemnify and hold harmless PacedLoop from any claims, damages, liabilities, or expenses arising from:
- Your use of the Service
- Your workflows
- Your violation of applicable laws
- Your infringement of third-party rights
16. Limitation of Liability
To the maximum extent permitted by law:
PacedLoop shall not be liable for:
- Indirect or consequential damages
- Lost profits
- Loss of data
- Business interruption
Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
If no fees were paid, liability is limited to $100.
17. Modifications to the Service or Terms
We may modify the Service or these Terms at any time.
Material changes will be reflected by updating the Last Updated date.
Continued use of the Service after changes constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles.
19. Data Processing Addendum
If you are a Creator using the Service to process personal information, you may also be subject to our Data Processing Addendum (DPA), which governs data protection responsibilities between PacedLoop and Creators.
